Elon Musk, the tech billionaire and co-founder of OpenAI, has taken legal action against OpenAI, some of its founders, and its major investor Microsoft. His lawyers have asked a court to stop these parties from what they claim is unfair competition that harms other companies, including Musk’s own artificial intelligence (AI) venture called xAI.
This legal request, known as a preliminary injunction, was submitted to a federal court in Northern California on Friday. Musk’s attorneys have accused OpenAI and several key figures, including its CEO Sam Altman, President Greg Brockman, and others associated with Microsoft, of a variety of improper activities. They want the court to put a halt to these actions. The main accusations include:
- Discouraging Investment in Rivals: Musk’s lawyers claim that OpenAI has been pressuring investors not to support competing companies like xAI.
- Improper Sharing of Sensitive Information: They allege that OpenAI has been using confidential information obtained through its partnership with Microsoft to gain an unfair advantage.
- Changing Governance Structure: Musk’s team argues that OpenAI has shifted from its original nonprofit model to a for-profit one and is improperly transferring valuable assets, including intellectual property, to benefit this new structure.
- Conflicts of Interest: They also claim that OpenAI is doing business with companies where its leaders have financial stakes, which raises ethical concerns.
Musk’s lawyers believe that if the court doesn’t intervene and grant the injunction, it could cause serious and irreversible damage to both Musk and the public. They argue that OpenAI needs to be held accountable to its original mission of being a nonprofit organization focused on making AI technology accessible to everyone. They wrote in their filing that an injunction is necessary to preserve what remains of OpenAI’s nonprofit character and to prevent further self-serving actions.
This legal dispute is not new; Musk has been in conflict with OpenAI for some time. After initially dropping the lawsuit in July, he revived it later, adding new defendants including Microsoft and former OpenAI board members. Musk claims he has been misled and defrauded out of over $44 million that he donated to OpenAI, which he believes was used against his concerns about the potential dangers of AI. Musk left OpenAI in 2018 due to disagreements about its direction.
OpenAI was founded in 2015 as a nonprofit organization but transitioned to a “capped-profit” model in 2019, allowing it to operate a for-profit subsidiary while still being governed by the nonprofit. Now, it is reportedly moving toward becoming a fully for-profit entity.
In response to OpenAI’s actions, Musk created xAI, which launched an AI model named Grok that is now integrated into his social media platform, X (formerly Twitter). Musk’s lawyers claim that OpenAI is harming xAI by convincing investors not to support it. They noted that at least one significant investor in OpenAI’s recent funding round chose not to invest in xAI because of OpenAI’s demands.
Despite these claims, xAI has been able to secure substantial funding, reportedly raising $5 billion recently, making it one of the best-funded AI startups.

Musk’s legal team has also accused Microsoft and OpenAI of illegally sharing confidential information and resources. They point out that OpenAI chose Stripe, a payment processing company in which Altman has a financial interest, as its payment processor, suggesting a conflict of interest.
Microsoft has invested heavily in OpenAI, totaling around $13 billion, and has provided significant resources to help OpenAI develop its AI technologies. Musk’s attorneys argue that this relationship creates unfair advantages and potential violations of competition laws.
Musk’s legal filing emphasizes the need to maintain OpenAI’s charitable status while the court resolves these issues, arguing that this is crucial for the organization’s original mission and the public’s trust in charitable institutions. They warn that if the injunction is not granted, OpenAI may not have enough resources to pay damages if Musk ultimately wins the case, given that OpenAI is reportedly spending more than it earns.
In response to Musk’s latest legal move, an OpenAI spokesperson dismissed the allegations as unfounded and reiterated their belief that Musk’s complaints are without merit. They had previously sought to dismiss Musk’s lawsuit, calling it exaggerated and baseless.
